Islamabad, Aug 13, 2025: Gatron Industries Limited has officially withdrawn its proposed Scheme of Arrangement with Nova Frontiers Limited (NFL) and Ghani & Tayub (Private) Limited (G&T), as confirmed in an official disclosure submitted to the Pakistan Stock Exchange (PSX). This decision marks a significant development in the corporate landscape.
Originally, Gatron’s Board of Directors had approved the Scheme on February 10, 2025, contingent upon the endorsement of the Honorable High Court of Balochistan and the shareholders of the involved entities. However, recent updates from NFL and G&T indicate that their Boards have opted to retract the proposed arrangement, citing recent circumstances that necessitated reconsideration.
It is important to note that Gatron Industries Limited’s participation in this Scheme was mainly procedural and contingent, as the core transaction was strictly between the corporate shareholders and their respective stakeholders. In light of these changes, Gatron’s Board has also retracted its prior approval via a circular resolution.
The company reassures investors and stakeholders that this withdrawal will not affect Gatron’s shareholder value, ongoing business activities, or asset portfolio. The concerned parties have initiated steps to withdraw the legal petitions earlier submitted to the High Court of Balochistan.
